DexterLab Terms of Service (TOS)

These Terms of Service ("TOS") govern your access to and use of DexterLab’s services. By using our services, you agree to comply with these TOS. If you do not agree, please discontinue use of the services immediately.
1. Definitions
Provider: DexterLab, UAB “Vertex,” located at Liepų str. 83, LT-92195 Klaipėda, Lithuania.
Client: The individual or entity subscribing to DexterLab’s services.
Services: Includes Solana Archival RPC, Real-Time Data Streams, Historical Data Streams, Raw Data, SVM Archival RPC, and SVM Backups, as further described on our website.
Agreement: The contractual relationship governed by these TOS and the signed Service Order.
2. Acceptance of Terms
By accessing or using our services, you agree to these TOS and any additional terms outlined in the Service Order. These TOS form a legally binding agreement between you and DexterLab.
3. Scope of Services
Service Offerings: DexterLab provides blockchain infrastructure services, including RPC endpoints, data streams, and backups, as described on our website and Service Order.
Service Levels: Each subscription plan includes specific performance metrics and availability guarantees outlined in the Service Order.
Modifications: DexterLab may modify its services, provided that such changes do not materially degrade the agreed-upon performance levels.
4. Fees and Payments
Fees: Service fees are outlined in the Service Order and are payable monthly in advance unless otherwise specified.
Invoices: DexterLab will issue invoices by the 2th day of each month or on the first day of the subscription extension. Payments must be made within 2 business days.
Late Payments: Unpaid invoices will incur a late payment fee of 0.2% per day of the overdue amount. Persistent non-payment may result in service suspension.
5. Service Level Agreement (SLA)
Availability Commitments: DexterLab guarantees the following monthly availability levels:
- ≥ 99.9%: Full service delivery.
- 99.0% to < 99.9%: 10% service credit.
- 95.0% to < 99.0%: 30% service credit.
- < 95.0%: 100% service credit.
Exclusions: SLA credits are not applicable for outages caused by force majeure, scheduled maintenance, or issues outside DexterLab’s control.
6. Acceptable Use Policy
Prohibited Activities: Clients may not:
- Use services to engage in illegal activities.
- Attempt to disrupt or harm the services.
- Exceed usage limits specified in the Service Order.
Enforcement: DexterLab reserves the right to suspend or terminate services for violations of this policy.
7. Intellectual Property Rights
Ownership: DexterLab retains all rights, title, and interest in and to the services, including underlying software, data (unless it is public), and intellectual property.
Client Data: Clients retain ownership of all data they upload or process using DexterLab’s services.
Restrictions: Clients may not reverse engineer, modify, or create derivative works based on DexterLab’s intellectual property.
8. Confidentiality
Confidential Information: Both parties agree to protect confidential information shared under this agreement. Confidential information includes, but is not limited to, business plans, technical data, and pricing.
Exceptions: Confidentiality obligations do not apply to information that is publicly available, disclosed under legal obligation, or independently developed.
9. Limitation of Liability
Cap on Liability: DexterLab’s total liability under these TOS is limited to the total fees paid by the Client in the 6 months preceding the claim.
Exclusions: DexterLab is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
10. Force Majeure
DexterLab is not liable for delays or failure to perform due to causes beyond its reasonable control, including natural disasters, governmental actions, labor disputes, and internet service interruptions.
In the event of a force majeure, DexterLab will notify Clients and make reasonable efforts to resume services as soon as possible.
11. Termination
By Client: Clients may terminate services with 90 days’ prior written notice.
By Provider: DexterLab may terminate services for breach of these TOS, non-payment, or other material violations.
Post-Termination Obligations: Upon termination, Clients must cease using the services and pay any outstanding fees.
12. Governing Law
These TOS are governed by the laws of the Republic of Lithuania. Any disputes will be resolved in the courts of Lithuania.
